Two Yonkers coffee businesses whose partners were irreconcilably divided have been dissolved by court order.
David Barbag petitioned Westchester Supreme Court last year to dissolve 4Jacks Corp. and 4Jacks Equipment Corp., claiming that dissension with Sahba Salimi was so intense that management of the businesses was impossible and that he no longer felt safe with his partner.
Supreme Court Justice Linda S. Jamieson concurred this month, noting, for instance, that Salimi did not oppose dissolution “likely because there is no basis for opposition.”
4Jacks sold and installed coffee-making equipment that produced 4Jacks Nitro, a cold brew infused with nitrogen to create a foamy, creamy coffee. Customers included cafes, restaurants, arenas, and college food services.
Barbag, of Brewster, says he invited Salimi, of Carmel, to invest in his coffee concept as an equal partner. They incorporated the businesses in 2020.
Around Spring 2023, Salimi became increasingly erratic and aggressive. He began drinking heavily, disappeared for long periods, and was physically ejected from a food show in Boston, according to Barbag’s petition. He took nearly $83,000 in inventory from the 4Jacks storage facility in New Rochelle and paid for personal items with a company debit card.
Salimi threatened to harm Barbag in text messages, according to the petition, stating for example that Barbag’s wife would be better off when he is gone. Barbag says he reported the threats to police and Salimi was arrested after admitting that he sent the messages.
Last year, judge Jamieson concluded that the partners’ relationship had deteriorated to the point where the corporations should be dissolved. She appointed a referee to oversee dissolution and determine the value of the businesses.
The referee’s report was submitted on July 14 and placed under seal. On Sept. 4, Jamieson confirmed the report and dissolved the corporations, effective April 15, 2026.
She ordered that any funds that remain after creditors and taxes are paid shall be distributed to Barbag. And she permanently restrained Salimi from communicating with Barbag and his family, from visiting their home, and from contacting any of 4Jacks’ customers and suppliers.
